Policy With Respect To Related Person Transactions
Recognizing that transactions with related parties can present potential or actual conflicts of interest, the Governance & Nominating Committee and our board of directors have adopted the attached procedures for the review, approval or ratification of related person transactions. The Governance & Nominating Committee will review these procedures periodically and may recommend changes to the board, as needed, to ensure that they reflect the board’s commitment to maintain high standards of corporate governance.
